1. Your agreement with UVIZON
These Terms are an agreement between UVIZON LLC and the organization that creates or uses a Grey Miles workspace (“you”). They cover greymiles.com, the Grey Miles application, its API and MCP server, and related services (together, “Grey Miles”). The Privacy Policy and Refund Policy are part of these Terms.
By creating an account, accepting an invitation or using Grey Miles, you agree to these Terms. If you accept them for an organization, you confirm that you are authorized to bind it. Grey Miles is a business service. You must be at least 18 years old to use it.
2. Accounts, workspaces and roles
- Keep your sign-in details confidential and accurate. Each person needs their own account. Do not share accounts.
- A workspace's owner and administrators decide who is invited, what role each person has and which security settings apply, such as required two-step verification. You are responsible for the actions of the people you give access to.
- Tell us promptly at the contact address below if you believe an account has been compromised.
3. AI connections and access keys
Grey Miles lets you connect AI apps and agents through its MCP server, either by signing in or with an access key. A connected app acts as the person who connected it, within that person's role and the access they chose.
- Changes made through a connection or access key are made on your account. Choose the access carefully, keep access keys secret, and disconnect anything you no longer use.
- AI apps can be wrong. Review what an app proposes before approving it, and check results before relying on them.
- The AI app you connect is a third-party service governed by its provider's terms and privacy policy. UVIZON does not control it and is not responsible for what it does with information it receives.
- AI connections are subject to fair-use limits per workspace and per connection, described in the AI connections guide. We may slow or pause traffic that exceeds them or threatens the service.
4. Your data
You own the records and files you and your team put into Grey Miles (“your data”). You give UVIZON a limited license to host, copy, process, transmit and display your data only as needed to provide, secure and support Grey Miles and as described in the Privacy Policy. We act on your instructions for your data and do not sell it.
You are responsible for your data: for having the right to collect and share it, including information about drivers, carrier contacts and employees, for giving any notices and obtaining any consents the law requires, including for location information, and for its accuracy. Do not upload information you are not allowed to share.
You can export your data while your subscription is active. If you need data processing terms for your organization, contact us.
5. Freight operations remain your decisions
Grey Miles is software for running your operation. UVIZON is not a freight broker, carrier, dispatcher, freight forwarder or shipper, is not a party to any load, rate confirmation or agreement you manage in Grey Miles, and does not provide legal, tax, insurance or regulatory advice.
- Public records. Carrier lookups show information from FMCSA and other public sources with the time it was checked. Those sources can be incomplete, delayed or unavailable, and vetting flags are not a safety rating or a recommendation. Verify authority, insurance and safety yourself before working with a carrier.
- Estimates. Routes, miles, drive times, tolls, fuel prices, costs, arrival times and lane rates are estimates. Locations show their source and age and may be out of date.
- Proposals. Terms read from a rate confirmation are a proposal for you to check against the document. Grey Miles never confirms terms or books a load on its own.
- Compliance. You remain responsible for complying with laws that apply to your business, including FMCSA and Department of Transportation rules, hours of service, broker and carrier agreements, invoicing, tax, employment and contractor rules. Payroll features calculate commissions. Grey Miles does not file tax forms or make payments for you.
- Email. “Sent” means the email provider accepted a message, not that it was delivered or read.
6. Plans, fees and payment
Plans, prices and what they include are shown on the pricing page and when you subscribe. There is no free trial. Subscriptions renew automatically for the same period until cancelled, and you authorize the charge of the payment method on file at each renewal. Fees exclude taxes, which are added where required.
Our reseller. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When you buy through Paddle, Paddle's buyer terms also apply to the purchase, and Paddle collects and remits sales tax or VAT. UVIZON LLC provides Grey Miles and remains responsible for the service itself under these terms. Some existing subscriptions may instead be billed by UVIZON LLC through Stripe. Where that is the case, Stripe processes the payments and UVIZON LLC is the seller.
- Users. A plan includes a number of users: the distinct people with access to the workspaces it covers, plus pending invitations. Extra users are charged for the rest of the current period. Removing users, or moving to a smaller plan, gives a prorated credit toward later payments rather than a cash refund.
- Workspaces. Basic covers one workspace. Team covers up to five workspaces owned by the same person, which share the plan's users and storage.
- Storage. Document storage above the plan's allowance is counted per GB per day, at the monthly rate on the pricing page divided by 30, and charged once a month for the previous month.
- Built-in AI features. Built-in AI features, such as reading a rate confirmation, are included with every plan and subject to fair-use limits that keep the service fast and affordable. If a workspace reaches a limit, those features pause for the rest of the month. The rest of Grey Miles keeps working.
- Founding prices. While our founding program is open, new subscriptions are offered at founding prices. An organization that subscribes during the program keeps founding prices, including for extra users and plan changes, for as long as its subscription stays active. If a subscription ends and is not restarted within 30 days, standard prices apply. We may end the founding program at any time. Doing so does not change existing founding subscriptions.
You can cancel at any time. Cancellation stops the next renewal and your plan stays active until the end of the period you paid for. Refunds follow the Refund Policy. We will give at least 30 days' notice before a price change applies to your subscription. If a payment fails, our payment provider retries it for a period. If it still fails, the workspace is limited to its plan and billing page until payment is made. Your data is not deleted because of a failed payment.
7. Acceptable use
You agree not to, and not to let anyone else:
- use Grey Miles for anything unlawful, fraudulent or deceptive, including double brokering, identity or authority misuse, or falsified documents.
- upload malware, or content you have no right to share.
- send spam or unwanted bulk email through connected mailboxes or Grey Miles email.
- access workspaces, accounts or data you are not authorized to, or try to get around roles, approvals, limits or security controls.
- interfere with or overload Grey Miles, or scrape, copy or resell it.
- reverse engineer Grey Miles, except where the law allows it despite this restriction.
- use Grey Miles or its public-record information to harass anyone or make decisions the law prohibits.
8. Third-party services
Grey Miles works with services you choose to use or that it relies on, such as Google and Microsoft mailboxes, mapping and routing providers, FMCSA data and AI apps. Their availability, accuracy and terms are theirs, and they may charge you separately. We are not responsible for third-party services, but we choose providers carefully and list them in the Privacy Policy.
9. Availability and changes
We work to keep Grey Miles available and secure, but it may occasionally be interrupted for maintenance, provider outages or events outside our control. We improve Grey Miles continually and may add, change or remove features. If we remove a feature you rely on in a material way, we will tell account owners in advance where we reasonably can. Features labelled as previews may change or end.
10. Ownership of Grey Miles
UVIZON LLC owns Grey Miles, including its software, design, documentation, the Grey Miles name and mark, and all related intellectual property. These Terms give you a limited, non-exclusive, non-transferable right to use Grey Miles during your subscription. They do not transfer ownership. If you send us feedback, we may use it without obligation to you.
11. Suspension and closing an account
You may stop using Grey Miles and close your workspace at any time. We may suspend or end access if you seriously or repeatedly breach these Terms, fail to pay, create a security or legal risk, or if the law requires it. Where reasonable, we will give notice and a chance to fix the problem first.
After a subscription ends, owners can ask us for an export of the workspace's data for 30 days, after which we may delete it as described in the Privacy Policy. Sections about your data, ownership, disclaimers, liability and disputes continue after these Terms end.
12. Disclaimers
Except as expressly stated in these Terms, Grey Miles is provided “as is” and “as available”. To the extent the law allows, UVIZON disclaims all implied warranties, including merchantability, fitness for a particular purpose and non-infringement, and does not warrant that Grey Miles, public records or AI results will be error-free, uninterrupted or complete.
13. Limitation of liability
To the extent the law allows, UVIZON will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, loads, data or goodwill, arising from or related to Grey Miles, even if advised they were possible.
UVIZON's total liability for all claims relating to Grey Miles is limited to the amount you paid for Grey Miles in the twelve months before the event giving rise to the claim. These limits do not apply where the law does not allow them.
14. Indemnity
You will defend and indemnify UVIZON against third-party claims arising from your data, your use of Grey Miles in breach of these Terms or the law, or the actions of people and AI apps you give access to, and pay resulting damages and reasonable costs.
15. Changes to these Terms and disputes
We may update these Terms. We will post the new version here and, for material changes, tell account owners at least 30 days before they apply. Continuing to use Grey Miles after that means you accept the update.
If you have a concern, contact us so we can review it. These Terms are governed by the laws of the State of Texas and applicable U.S. federal law, without regard to conflict-of-laws rules, and disputes will be heard in the state or federal courts located in Travis County, Texas, unless the law where you are requires otherwise.
16. General
These Terms are the entire agreement about Grey Miles unless you have signed a separate agreement with UVIZON, which then takes precedence where it conflicts. If part of these Terms is unenforceable, the rest stays in effect. Neither party is responsible for delays caused by events beyond its reasonable control. You may not transfer these Terms without our consent. We may transfer them to a successor to the Grey Miles business. A failure to enforce a term is not a waiver.
